Location: Duties: Lead and support on complex M&A transactions, providing legal advice and drafting key agreements. Manage and facilitate due diligence processes. Structure and negotiate deal terms for mergers, acquisitions, and other corporate transactions. Work closely with senior attorneys and clients to navigate legal and business risks in M&A deals. Draft and review key transaction documents, including purchase agreements, shareholder agreements, and financing arrangements. Provide strategic legal advice to clients, particularly in the technology and life sciences sectors. Maintain and develop client relationships, contributing to business development efforts. Keep current on market trends and M&A laws to provide insightful advice. Requirements: 3-5 years of experience in M&A law at a leading corporate law firm. Active member of the bar in the jurisdiction of the office for which application is made, or eligibility to sit/waive into the next bar exam. Proven ability to manage complex transactions and work independently with minimal supervision. Strong experience in negotiating and structuring M&A deals, including drafting and reviewing related legal documents. Excellent written and verbal communication skills. Ability to thrive in a fast-paced, high-pressure environment. Strong interpersonal skills and a team-oriented approach to client service. Education: J.D. from an accredited law school. Certifications: Active bar membership in the jurisdiction where the candidate will be working, or eligibility to sit/waive into the next bar exam. Skills: Expertise in mergers and acquisitions, corporate governance, and related corporate law matters. Strong drafting, negotiation, and due diligence skills. Excellent problem-solving and analytical skills. Ability to effectively communicate complex legal concepts to clients and stakeholders.
